1. The Agency Agreement

Uptralabs ("we," "Agency") is a digital engineering firm. By engaging us, you ("Client") agree that we are acting as a Technology Provider, not a business partner or platform operator. We build infrastructures; you own and operate them.

2. Service Specific Terms

A. High-Performance Web & E-commerce

We guarantee the technical performance (speed, code quality) of your web assets upon deployment. However, Uptralabs does not guarantee specific sales figures, conversion rates, or revenue. "Growth" refers to the engineering capacity to handle scale, not a financial promise.

B. QR & Contactless Solutions

We provide the code that bridges physical and digital interactions (Menus, Catalogs). We are not responsible for the physical fulfillment of orders, inventory management, or payment disputes between you and your end-customers.

C. 24/7 Agents & WhatsApp Chatbots

Our automation relies on third-party APIs (Meta/WhatsApp, OpenAI). Uptralabs is not liable for:

  • Service downtime caused by Meta or AI providers.
  • Account bans resulting from the Client's violation of WhatsApp's anti-spam policies.
  • Inaccurate responses ("hallucinations") generated by AI agents.

3. Infrastructure & Renewals

For projects including "1 Year Free Domain & Cloud Hosting":

  • Ownership: You own the domain. We manage the technical DNS.
  • Expiry: Free hosting expires exactly 365 days from launch.
  • Renewal: A maintenance invoice will be generated 30 days prior to expiry. Failure to clear this invoice will result in server suspension.

4. Payment & Deliverables

Development Fees: A 50% non-refundable deposit is mandatory to reserve engineering time. The remaining 50% is due prior to credential handover.

5. Governing Law

All disputes are subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
